CORPORATE GOVERNANCE PLDT observes the highest standards of corporate governance as reflected in their Articles of Incorporation, By-Laws, Manual on Corporate Governance (CG Manual), Code of Business Conduct and Ethics (Code of Ethics), and pertinent laws, rules and regulations. Since it is a publicly-listed Philippine corporation, PLDT is governed by corporate governance rules and regulations of the Philippine Securities and Exchange Commission (Philippine SEC) and the Philippine Stock Exchange (PSE). In addition, since its American Depositary Shares are listed and traded in the New York Stock Exchange (NYSE), PLDT also voluntarily complies with the corporate governance standards of the United States. Lastly, the company also considers the corporate governance standards of Hong Kong for guidance and benchmarking purposes since PLDT is an associated company of First Pacific Company Ltd. The directors possess complementary skills and expertise, and the requisite independence, probity and diligence as they exercise their fiduciary duties. It has three independent directors selected on the basis of specific independence criteria set out under applicable laws, rules and Company policies, who are free from any business or other relationships with PLDT and its subsidiaries which could, or could reasonably be perceived to, materially interfere with the exercise of independent judgment in carrying out their responsibilities as independent directors. The Board of Directors provides strategic leadership in PLDT’s governance. The Board oversees the corporate governance framework established to enable the Company to conduct its business in order to foster long term success, sustain competitiveness and create value for its stakeholders.
